Corporate Governance

A-TEC Industries undertakes a voluntary commitment to the Austrian Corporate Governance Code as a regulatory framework for the management and control of A-TEC Industries and the guarantee of a high degree of transparency for all our stakeholders.

The rules and regulations of the Code include some that are mandatory (legal requirements), some that are recommendations and some where departure from the requirements must be explained (comply or explain).

The following comments explain certain provisions of the Code as they apply to A-TEC Industries:

Rule 27:	In A-TEC Industries Group there are performance related elements of remuneration for the Management Board and certain members of senior management, but not for all senior executives and officers.
Rule 30:	A-TEC Industries sees no additional value to its shareholders in this information, but more details will be given in the next annual report.
Rule 34:	Internal rules and procedures will not be published, either in whole or in part, since A-TEC Industries considers them to be confidential.
Rule 38:	Neither the Articles of Incorporation nor the rules and procedures of the Management and Supervisory Boards contain age limits. Appointments are entirely dependent on experience and qualifications.
Rule 51:	The scheme of remuneration for A-TEC Industries’ Supervisory Board is published on the Group’s website, in the Articles of Incorporation, Article 14(1).
Rule 53:	All members of A-TEC Industries’ Supervisory Board are independent, as required under the provisions of the Austrian Corporate Governance Code.
Rule 57:	Neither the Articles of Incorporation nor the rules and procedures of the Management and Supervisory Boards contain age limits. Appointments are entirely dependent on experience and qualifications.
Rule 74:	The audit of the consolidated financial statements was carried out in accordance with the Austrian statutory provisions currently in force and the principles established by the standards and guidelines of the professional associations of auditors in Austria for generally accepted auditing practice. These accord with the principles of International Standards on Auditing (ISA).
